Acceptance of Terms

By accessing or using the Maddog Global website at maddogworld.com, submitting an inquiry, requesting a consultation, or engaging Maddog Global for any digital marketing or related service, you confirm that you have read, understood and agree to be legally bound by these Terms of Service and our Privacy Policy, which is incorporated herein by reference.

These Terms constitute a legally binding agreement between you (the individual user, business entity or client) and Maddog Global under the Indian Contract Act 1872 and the Information Technology Act 2000. If you do not agree to these Terms, you must immediately stop using this website and refrain from engaging our services.

The specific scope, deliverables, timelines and fees for each service engagement are defined in individual Service Agreements, Statements of Work (SOW) or Proposals issued to each client. In the event of any conflict between these Terms of Service and a specific Service Agreement, the terms of the Service Agreement shall prevail for that engagement.

Website Use — Permitted and Prohibited Activities

You may access and use the Maddog Global website for lawful personal and commercial purposes — to learn about our services, review our portfolio, read our blog content, and contact us. All use of this website must comply with applicable Indian law, including the Information Technology Act 2000 and the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules 2021.

Permitted Uses

Violation of these prohibited use rules may result in immediate termination of your access, civil legal action under the Indian Contract Act 1872, criminal complaint under the IT Act 2000, and/or reporting to relevant authorities including CERT-In. Client Service Agreements and Engagement

A formal client engagement with Maddog Global begins when both parties have agreed upon and signed or electronically accepted a Service Agreement, Statement of Work (SOW), or Project Proposal and the applicable onboarding fee or initial payment has been received. These Terms of Service apply to all such engagements in addition to the specific terms contained in each Service Agreement.

5.1 Client Responsibilities

For Maddog Global to deliver services effectively, you agree to:

  • Provide timely access and approvals: Grant us timely access to all accounts, platforms and assets required to deliver the agreed services, including Google Ads accounts, Meta Business Manager, website admin access and analytics platforms. Delays in providing access or approvals that affect delivery timelines are the client's responsibility.
  • Provide accurate and complete information: Ensure that all information, content, brand materials and assets provided to us are accurate, complete, lawfully owned or licensed by you, and do not infringe any third party's intellectual property or legal rights.
  • Timely feedback and approval: Respond to approval requests, review deliverables and provide feedback within the timelines specified in the Service Agreement. Unreasonable delays in client feedback may affect project timelines and do not constitute grounds for refund claims.
  • Maintain platform accounts in good standing: Ensure your Google, Meta, and other advertising platform accounts comply with those platforms' policies. We are not responsible for account suspensions or restrictions arising from your pre-existing account history or policy violations.
  • Maintain compliance with applicable law: Ensure your business, products, services and all marketing activities we carry out on your behalf comply with applicable Indian law and the laws of any markets you target.

5.2 Our Responsibilities

  • Deliver all agreed services with reasonable care, skill and diligence in accordance with current industry best practices
  • Assign qualified team members with appropriate expertise to each client engagement
  • Maintain confidentiality of all client information as detailed in Section 8
  • Provide transparent, accurate reporting on service performance against agreed KPIs
  • Communicate proactively about any material issues, delays or changes that may affect service delivery
  • Comply with all applicable laws and the terms of service of all digital platforms we use to deliver our services

Section 06

Payments, Fees and Refunds

All fees for Maddog Global's services are specified in the applicable Service Agreement, Proposal or invoice. Fees are quoted in Indian Rupees (INR) for Indian clients and in the agreed currency for international clients. All quoted fees are exclusive of Goods and Services Tax (GST) unless explicitly stated otherwise. Applicable GST will be added to all invoices issued to Indian clients at the prevailing rate.

Payment Term Details
Retainer Services Monthly retainer fees are due in advance at the beginning of each monthly billing cycle. Services commence upon receipt of payment for the first month. Recurring invoices are issued 5 business days before the billing date.
Project-Based Work Project fees are typically structured as 50% upfront before project commencement and 50% upon project completion, unless a different milestone-based schedule is specified in the Service Agreement.
Ad Spend Budgets Client advertising budgets (Google Ads, Meta Ads, etc.) are entirely separate from our management fees and are paid directly by the client to the respective platform. We do not hold or manage client ad budgets unless explicitly agreed in writing.
Late Payment Invoices unpaid after 15 days from the due date may attract a late payment charge of 1.5% per month on the outstanding amount. We reserve the right to pause service delivery for accounts with invoices overdue by 30 days or more.
Payment Methods We accept bank transfer (NEFT/RTGS/IMPS), UPI, and major credit and debit cards via our payment processor. All online payments are secured via PCI-DSS compliant payment gateways.

6.1 Refund Policy

  • Retainer services — cancellation with 30 days notice: Where you provide written cancellation notice with at least 30 calendar days notice, any prepaid but unused retainer fees for the period beyond the 30-day notice window will be refunded on a pro-rata basis, calculated on a daily rate.
  • Project-based work — completed milestones: Fees paid for completed and delivered milestones are non-refundable. If a project is cancelled by the client before completion, fees for work completed to the cancellation date are due and any advance payments for uncompleted future milestones will be refunded.
  • Disputes regarding deliverables: If you believe a deliverable does not meet the agreed specification, you must raise a written dispute within 7 business days of delivery. We will review the dispute and work in good faith to resolve it through revision, correction or partial credit where justified.
  • No refunds for third-party costs: We cannot process refunds for costs already incurred with third-party platforms and tools on your behalf, including software subscriptions, tool licences, or advertising credits once activated.

All refund requests must be submitted in writing to info@maddogworld.com with the subject line "Refund Request" along with your invoice number and the reason for the request. We will acknowledge your request within 2 business days and aim to resolve it within 14 business days.

Section 07

Intellectual Property Rights

7.1 Maddog Global's Intellectual Property

The Maddog Global website, its design, layout, structure, source code, written content, blog articles, graphics, logos, trade marks, service marks and all other materials published on or through this website are the exclusive intellectual property of Maddog Global and are protected under the Indian Copyright Act 1957, the Trade Marks Act 1999, and applicable international intellectual property treaties.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use our website for its intended purpose. This licence does not permit you to: reproduce or copy substantial portions of our website content; create derivative works; commercially exploit any of our content; or remove or obscure any proprietary notices, trade marks or copyright notices appearing on the website.

7.2 Client Deliverables — Ownership Upon Full Payment

Upon receipt of full payment of all agreed fees for a specific deliverable or project, Maddog Global assigns to the client all intellectual property rights in the specific, bespoke deliverables created exclusively for that client — including logo designs, website designs, advertising creatives, and written content — to the extent those deliverables do not incorporate Maddog Global's pre-existing proprietary materials or third-party licensed components.

7.3 What Maddog Global Retains

  • Proprietary methodologies and frameworks: All strategic frameworks, processes, methodologies, templates and proprietary tools that Maddog Global uses in delivering its services remain our exclusive intellectual property, even where they are applied within client deliverables
  • Pre-existing materials: Any materials, tools, code libraries, design elements or content that Maddog Global created prior to or independently of the client engagement
  • Portfolio rights: The right to showcase completed work — including website designs, ad creatives and campaign results — in our portfolio, case studies and marketing materials, unless the client requests confidentiality in writing prior to project commencement
  • Third-party licences: Rights to stock photography, icon libraries, fonts and other third-party assets used in client deliverables are subject to the relevant third-party licence terms and may require the client to maintain their own licence for continued use

7.4 Client-Provided Materials

By providing us with any content, materials, images, videos, data or assets for use in our services, you warrant that you are the lawful owner of or have full rights to use those materials, and you grant Maddog Global a licence to use them solely for the purpose of delivering the agreed services to you. You indemnify Maddog Global against any claims arising from our use of client-provided materials in accordance with your instructions.

Confidentiality

Both Maddog Global and our clients may, in the course of a service engagement, share confidential information — including but not limited to business strategies, financial data, customer data, marketing performance data, pricing structures, product roadmaps, technical specifications, and proprietary processes. Both parties agree to maintain the confidentiality of all such information shared in connection with the engagement.

  • Definition of Confidential Information: Any information disclosed by one party to the other that is designated as confidential, or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure, is treated as Confidential Information under these Terms.
  • Maddog Global's obligations: We will not disclose your Confidential Information to any third party other than to our team members, subcontractors and service providers who need to know it to deliver your agreed services, and who are bound by equivalent confidentiality obligations. We will not use your Confidential Information for any purpose other than delivering the services we have agreed to provide you.
  • Your obligations: You agree to keep confidential any proprietary methodologies, pricing structures, strategies or non-public information about Maddog Global that you become aware of during our engagement. You will not use such information to compete with us or to benefit any third party.
  • Exceptions: Confidentiality obligations do not apply to information that: is or becomes publicly available through no fault of the receiving party; was already known to the receiving party before disclosure; is independently developed by the receiving party without reference to the Confidential Information; or is required to be disclosed by law, court order or regulatory authority (in which case prompt prior notice will be given where legally permitted).
  • Duration: Confidentiality obligations survive the termination of any service engagement for a period of 3 years from the date of termination.

Results, Performance and Guarantees

Important: Maddog Global does not guarantee specific marketing results, search engine rankings, advertising returns, revenue outcomes, follower counts, traffic volumes or any other performance metric. Any agency that makes such guarantees should be regarded with significant caution — such guarantees are not consistent with how digital marketing, search algorithms or advertising platforms work.

The performance of digital marketing services is influenced by a significant number of factors outside Maddog Global's control, including but not limited to:

  • Changes to Google, Meta, LinkedIn and other platform algorithms and policies
  • Market competition levels and competitor activity and budgets
  • Seasonal demand fluctuations, economic conditions and market changes
  • The quality, pricing and conversion rate of the client's own products or services
  • The client's website performance, user experience and landing page quality
  • Budget levels relative to competitive benchmarks in the target market
  • Client delays in providing approvals, feedback or required access
  • Platform policy changes that restrict certain types of advertising or targeting
  • Force majeure events including natural disasters, pandemics or regulatory changes

What Maddog Global commits to is applying current best-practice strategies, rigorous testing and optimisation, transparent and accurate reporting, and continuous improvement throughout every engagement. We will always be honest with you about what we are seeing in your campaigns and what we recommend — even if that means recommending a strategic pivot or acknowledging that a particular approach is not delivering the expected results.

Where performance benchmarks or KPI targets are included in a Service Agreement, they represent agreed aspirational targets based on our professional assessment at the time of the agreement and do not constitute legally binding performance guarantees. We will use all reasonable professional skill and diligence to achieve or exceed them.

Section 10

Disclaimer and Limitation of Liability

10.1 Website Disclaimer

The Maddog Global website and all content published on it are provided on an "as is" and "as available" basis without any representations or warranties of any kind, express or implied. While we make every reasonable effort to ensure the accuracy and currency of information published on our website, we do not warrant that the website will be uninterrupted, error-free, free of viruses or other harmful components, or that any defects will be corrected.

10.2 Limitation on Liability

To the maximum extent permitted by applicable law — including the Indian Contract Act 1872 and the Consumer Protection Act 2019 — Maddog Global's total aggregate liability to you in connection with any service engagement or website use, whether arising in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the total fees actually paid by you to Maddog Global in the 3 months immediately preceding the event giving rise to the claim.

Maddog Global shall not be liable for any of the following types of loss, whether direct, indirect or consequential, even if we were advised of the possibility of such loss:

  • Loss of profits, revenue or anticipated savings
  • Loss of business, contracts or commercial opportunities
  • Loss of data or information, or the cost of recreating or recovering lost data
  • Loss of goodwill or damage to reputation
  • Any indirect, special or consequential losses whatsoever
  • Losses arising from platform changes, algorithm updates or third-party service failures beyond our reasonable control
  • Losses arising from reliance on any information on our website that later proves to be inaccurate or outdated

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded or limited under Indian law, including rights conferred by the Consumer Protection Act 2019 that cannot be contractually waived.

Section 11

Termination and Cancellation

11.1 Termination by Client

You may terminate a service engagement by providing Maddog Global with written notice (by email to info@maddogworld.com) of at least 30 calendar days for monthly retainer services, or as specified in the applicable Service Agreement. Upon receipt of valid termination notice, we will continue to deliver the agreed services through the end of the notice period and issue a final invoice for any outstanding fees.

11.2 Termination by Maddog Global

We reserve the right to terminate or suspend a service engagement immediately and without liability to you if:

  • You fail to pay any undisputed invoice within 30 days of the due date after receiving a payment reminder
  • You are in material breach of these Terms or the applicable Service Agreement and fail to remedy that breach within 14 days of written notice from us specifying the breach
  • You request or instruct us to engage in any activity that violates applicable law, any platform's terms of service, or Maddog Global's ethical standards — including black-hat SEO, misleading advertising or data privacy violations
  • You become insolvent, are placed into administration or receivership, or are unable to pay your debts as they fall due
  • You engage in any conduct that is abusive, threatening or harassing towards Maddog Global's team members

11.3 Effect of Termination

  • All outstanding fees for work completed prior to the termination date become immediately due and payable
  • We will transfer to you all client-owned accounts, assets and completed deliverables for which full payment has been received within 14 days of termination
  • Sections 7 (Intellectual Property), 8 (Confidentiality), 10 (Limitation of Liability), 13 (Indemnification) and 14 (Governing Law) of these Terms survive termination
  • We reserve the right to retain client data for the periods required by law as described in our Privacy Policy

Third-Party Links and Services

Maddog Global does not control, endorse, sponsor, or accept responsibility for any third-party website or its content, products, services, privacy practices or security.

Your interaction with any third-party website linked from ours is governed entirely by that website's own terms of service and privacy policy. We encourage you to review the terms and privacy policy of any third-party website you visit through links on our website.

In delivering our services, we use a range of third-party platforms and tools including Google Ads, Meta Business Suite, HubSpot, Mailchimp, and others as described in our Privacy Policy. While we carefully select tools that meet appropriate standards of security and service, we are not responsible for the performance, security or availability of these third-party platforms beyond our reasonable control. Any downtime, account suspension or service changes by third-party platforms do not constitute a breach of our service obligations under a Service Agreement where such events are beyond our reasonable control.

Indemnification

You agree to indemnify, defend and hold harmless Maddog Global and its directors, team members, contractors and service providers from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Maddog Global website in violation of these Terms or any applicable law
  • Any content, materials or assets you provide to us that infringe any third party's intellectual property rights, privacy rights or other legal rights
  • Your products, services or business activities that we market on your behalf, including any claims of false advertising, consumer fraud, or regulatory non-compliance relating to your products or services
  • Your breach of any representation, warranty or obligation under these Terms or any applicable Service Agreement
  • Any claim arising from data you asked us to collect, process or use on your behalf in connection with your own customers or end users

This indemnification obligation is in addition to, and does not limit, any other remedies available to Maddog Global under applicable law or equity.

Section 14

Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them, their subject matter or their formation — including non-contractual disputes — are governed by and construed in accordance with the laws of India, including the Indian Contract Act 1872, the Information Technology Act 2000 and all applicable Indian statutes and regulations.

The courts of India shall have exclusive jurisdiction over all disputes arising from or in connection with these Terms or any service engagement between you and Maddog Global, subject to the dispute resolution process described in Section 15.

International clients: If you are accessing our website or engaging our services from outside India, you acknowledge that these Terms are governed by Indian law and that you consent to the jurisdiction of Indian courts for any dispute resolution that cannot be resolved through the good-faith negotiation process described in Section 15. We respect your local consumer rights and nothing in these Terms removes rights you have under the mandatory consumer protection law of your home country.

Dispute Resolution Process

  • Step 1 — Informal resolution (0–30 days): Contact us at info@maddogworld.com with a clear description of your concern and the resolution you are seeking. We will acknowledge your communication within 2 business days and work in good faith to resolve the matter within 30 days of your initial contact.
  • Step 2 — Mediation (30–60 days): If informal resolution is not achieved within 30 days, both parties agree to attempt to resolve the dispute through good-faith mediation with a mutually agreed mediator before initiating any legal proceedings. The costs of mediation shall be shared equally between the parties.
  • Step 3 — Legal proceedings: Only where mediation fails or is refused by either party may the matter be referred to the courts of India as specified in Section 14. Nothing in this process prevents either party from seeking urgent injunctive or interim relief from a court where such relief is genuinely necessary to prevent irreparable harm.

Consumer Protection

If you are an individual consumer (as defined under the Consumer Protection Act 2019) and you are dissatisfied with how your complaint has been handled, you have the right to approach the appropriate Consumer Dispute Redressal Commission at the District, State or National level, depending on the value of the disputed service. Details of consumer redressal forums are available at consumerhelpline.gov.in.
